NOMO Advertising Terms & Conditions
Last updated: October 12, 2026
These NOMO Advertising Terms and Conditions (the "Terms") govern every Insertion Order ("IO") between NOMO Technologies, Inc. ("NOMO" or "Publisher") and the advertiser named in that IO ("Advertiser").
Incorporation of the IAB Terms
The 4A's/IAB Standard Terms and Conditions for Internet Advertising for Media Buys One Year or Less, Version 3.0 (the "IAB Terms") are incorporated into these Terms by reference, as modified below. The official IAB Terms are published by the Interactive Advertising Bureau at iab.com/wp-content/uploads/2015/06/IAB_4As-tsandcs-FINAL.pdf.
Capitalized terms not defined in these Terms or the IO have the meanings given in the IAB Terms. The IAB Terms apply to each IO even if the IO, including renewals, runs longer than one year.
Order of precedence
If these documents conflict, they control in this order:
The IO, including any separate writing mutually agreed under the IO
These Terms
The IAB Terms
NOMO modifications to the IAB Terms
The following sections supplement and, where they conflict, replace the corresponding provisions of the IAB Terms.
1. Parties and direct buys
NOMO is the "Media Company" under the IAB Terms. Advertiser is the "Advertiser" and also takes on all obligations of "Agency" under the IAB Terms. These Terms apply to direct advertiser buys, notwithstanding any statement in the IAB Terms to the contrary. If an agency signs an IO on Advertiser's behalf, the agency and Advertiser are jointly and severally liable for all amounts due, and IAB Terms provisions on sequential liability do not apply.
2. Definitions
NOMO Platform: the NOMO mobile and web applications, rewards catalog, and related surfaces where Deliverables run.
Users: individuals who use the NOMO Platform.
Deliverable: the unit of performance purchased under an IO (CPA, CPI, or Revenue Share).
Qualified Action: the specific user action defined in the IO's Qualified Action Definition.
CPA Deliverables: Deliverables paid per Qualified Action.
CPI Deliverables: Deliverables paid per first-time install that meets the Qualified Action Definition in the IO.
Revenue Share Deliverables: Deliverables paid as a percentage of net revenue attributed to Users, as defined in the IO.
3. Nature of Deliverables
All Deliverables are performance-based and non-guaranteed. NOMO makes no commitment to any volume, impression count, placement, or position. No makegoods, short rates, or bonus delivery apply. Where the Advertiser Offering includes a mobile or web application, NOMO does not sell, and no amount is payable for, an application download, app store impression, app store page view, or app store rating or review, and NOMO will not incentivize Users to rate or review the Advertiser Offering.
4. Insertion orders and campaign changes
Campaign Information (rates, budget, targeting, estimated volumes, and caps), the Qualified Action Definition, and the Tracking Method may be set or changed by a separate writing mutually agreed by both parties. Email is sufficient. NOMO is not required to deliver, and Advertiser is not required to pay, beyond the Aggregate Budget or Monthly Spend Cap in the IO unless both parties agree in writing.
5. Advertiser content, age ratings, and minors
Advertiser represents that the products, apps, games, or services it promotes under an IO (the "Advertiser Offering") and its Ad Materials comply with applicable law and, where applicable, app store and platform policies. Advertiser further represents that any age rating and "Available to Users Under 18" information in the IO is accurate, and will notify NOMO within two business days of any change to that information. NOMO may limit any campaign to age-appropriate Users and may reject or remove any Ad Materials at its discretion.
6. Measurement and reporting
This Section replaces the IAB Terms provisions on reporting, third party ad serving, and counting.
Source of truth. Unless the IO names an attribution provider, Advertiser's reporting of Qualified Actions, tracked through the Tracking Method in the IO, is the billing source of truth.
Monthly report. By the 5th business day of each month, Advertiser will send NOMO a report of Qualified Actions for the prior month, applying the Attribution Window and Deduplication Window in the IO.
Supporting data. On request, Advertiser will provide reasonable supporting data, such as anonymized event logs, promo code redemptions, or postback records.
Late or missing reports. If Advertiser does not report on time, NOMO may invoice based on its own tracking data, subject to reconciliation in the next cycle.
Discrepancies. If NOMO's data and Advertiser's report differ by more than 10%, the parties will reconcile in good faith within 15 business days.
Invalid activity. Advertiser may exclude Qualified Actions it reasonably documents as fraudulent or invalid, with the documentation shared with NOMO.
Tracking implementation. Advertiser is responsible for implementing and maintaining the Tracking Method on its side. Qualified Actions lost due to Advertiser tracking failures remain payable based on NOMO's reasonable estimate.
7. Invoicing and payment
NOMO invoices monthly in arrears in U.S. Dollars. Payment is due net 30 days from receipt of invoice, subject to any credit terms in the IO. Advertiser must notify NOMO of any good faith invoice dispute within 15 days of receipt and pay all undisputed amounts when due. Overdue amounts accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law.
8. Term, cancellation, and termination
Each IO's term and renewal are set in the IO. Either party may cancel non-guaranteed Deliverables without cause on seven (7) days' prior written notice. Either party may terminate an IO if the other materially breaches and does not cure within 10 days of written notice. Qualified Actions completed before the effective date of cancellation or termination remain payable.
9. User privacy and data
NOMO will not share personal information of Users with Advertiser except as required to operate the Tracking Method and as permitted by NOMO's privacy policy. Advertiser will not use data from a campaign to identify, profile, or retarget Users, or to target any User known to be under 18 for advertising. Each party will comply with applicable privacy laws, including COPPA and state privacy laws in the U.S., the UK GDPR, and Brazil's LGPD.
10. Prohibited practices
Neither party will generate or report Qualified Actions through bots, fraud, incentivized ratings or reviews, cookie stuffing, or attribution manipulation. NOMO may withhold payment for, or Advertiser may exclude, any Qualified Action resulting from these practices.
11. Indemnification
In addition to the indemnities in the IAB Terms, Advertiser will defend and indemnify NOMO against third party claims arising from the Advertiser Offering, Advertiser's age rating or minor availability representations, or Advertiser's collection or use of User data.
12. Governing law and venue
These Terms and each IO are governed by the laws of the State of California, without regard to conflict of law principles. The state and federal courts in Los Angeles County, California have exclusive jurisdiction over any dispute.
Changes and contact
NOMO may update these Terms by posting a revised version at yesnomo.com/legal/io. Changes apply only to IOs signed after the posted update date, and never to an IO already in effect without Advertiser's written agreement.
